MedTech Compass Subscription Terms of Service

1. Agreement

These Subscription Terms of Service ("Terms") govern your purchase and use of MedTech Compass subscriptions offered by Cahir AI LLC, doing business as CAHIR Solutions ("CAHIR", "we", "us"). By checking the agreement box and completing a purchase, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

The Service is offered for business and professional use. If you purchase or use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

Our Privacy Policy, Acceptable Use Policy, and Billing, Cancellation & Refund Policy are incorporated into these Terms by reference.

2. The service

MedTech Compass is a decision-support and market-intelligence platform for medical devices.

Features, user-seat limits, analysis limits, export rights, support levels, pricing, and billing options are those identified for your selected plan at checkout or in an applicable order form.

3. Informational use only — not legal, regulatory or clinical advice

Outputs, scores, classifications, pathway suggestions, reimbursement insights, forecasts, citations, source summaries, and reports are informational only and may be generated or assisted by automated and AI-enabled methods.

AI-generated and third-party-source content may be incomplete, inaccurate, outdated, jurisdictionally inapplicable, or unavailable. You must independently verify material information, source documents, dates, assumptions, and conclusions before relying on any output.

Outputs are not legal, regulatory, medical, financial, or reimbursement advice and do not replace review by qualified professionals or determinations by regulators such as the FDA, EU notified bodies, or the MHRA. You are responsible for decisions you make using the Service.

The Service is not intended for diagnosis, treatment, patient management, emergency use, clinical decision-making, or any use in which an error or delay could reasonably create a risk to patient safety or other material harm.

4. Plans, pricing and payment

Market Signal is available for $4,095 per year or $399 per month. Pro is available for $39,000 per year. Prices are in U.S. dollars and exclude applicable taxes, which are calculated at checkout.

Card payments are processed securely by our payment processor; we do not store full card numbers. Pro customers may request payment by ACH bank transfer, in which case we issue an invoice and your access begins once payment is received or as otherwise agreed in writing.

Executive and Portfolio are sales-led plans subject to a separate written order form and are not available through self-serve checkout. Their pricing, billing terms, and other commercial terms are specified in the applicable order form.

5. Renewal and cancellation

Monthly subscriptions automatically renew each month unless cancelled before the next billing date. By purchasing a monthly plan, you authorize CAHIR and its payment processor to charge your selected payment method the recurring monthly fee, plus applicable taxes, on or about the same calendar day each month until you cancel.

You may cancel a monthly subscription at any time online through Account menu → Billing → Cancel subscription (available to your workspace owner or admin), or by emailing medtech@cahir.ai from the email address on the account. We action cancellation requests within one business day and, in all cases, before your next billing date if the request is received at least 24 hours in advance. Cancellation stops future recurring charges, and you retain access through the end of your then-current paid billing period.

Annual subscriptions do not automatically renew unless an applicable order form expressly says otherwise. We may send you a renewal offer before the end of the annual term. Continued access after the annual term requires a new purchase, renewal order, or other written agreement.

After each payment our payment processor emails a retainable receipt showing the plan, amount charged and taxes, and billing period. The Billing page in your account shows your billing frequency, next billing date and renewal status for monthly plans, and the online cancellation option; these Terms remain available at any time on our website.

6. Refunds

Monthly fees are non-refundable once a billing period begins. Annual fees may be refunded in full if you request cancellation within 14 days of the initial purchase and have not generated a report; after that, annual fees are non-refundable except where required by law. Refunds, where approved, are returned to the original payment method.

7. Accounts and seats

Market Signal includes 1 user seat, and Pro includes up to 5 user seats. Seat limits for Executive and Portfolio are specified in the applicable order form. Accounts are personal and may not be shared. Access is subject to account approval, and we may suspend accounts that violate these Terms.

An account administrator designated by your organization may manage seats, billing details, plan changes, and cancellation on the organization's behalf, and we may rely on that administrator's instructions.

You are responsible for maintaining the confidentiality of account credentials and for activity occurring under your account. You must promptly notify us at medtech@cahir.ai if you believe your account has been accessed without authorization.

8. Acceptable use and fair-use limits

You agree not to resell, scrape, reverse-engineer, or redistribute the Service or its data outside your organization, not to attempt to bypass access controls, and not to upload unlawful content or information you are not authorized to share. Our Acceptable Use Policy sets out the full list of prohibited activities.

Your use is subject to the seat, analysis, export, storage, and reasonable fair-use limits associated with your selected plan. We may contact you about unusually high or abnormal usage and may require an upgrade, apply reasonable technical limits, or suspend abusive use. Except in cases of fraud, security risk, or clear abuse, we will give you notice and a reasonable opportunity to resolve the issue before suspending access.

9. Intellectual property, your data and privacy

CAHIR retains all rights in the platform, models, and content. You retain rights to device descriptions and other information you submit, and grant us a limited license to process it to provide the Service.

Do not submit protected health information, patient-identifiable information, sensitive personal information, controlled technical data, or other highly sensitive information unless CAHIR has expressly agreed in writing to support that information and appropriate contractual and technical protections are in place.

10. Warranties and limitation of liability

The Service is provided "as is" and "as available" without warranties of accuracy, completeness, or fitness for a particular purpose, to the extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAHIR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO CAHIR FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. We are not liable for indirect, incidental, or consequential damages, including lost profits or regulatory outcomes.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Indemnification

You will defend, indemnify, and hold harmless CAHIR, its affiliates, licensors, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your customer data, your breach of these Terms, your unlawful use of the Service, or your violation of a third party's rights.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated in advance and apply at your next renewal or, for monthly plans, at your next billing date. Continued use after changes take effect means you accept them.

13. Governing law and contact

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except where consumer protection laws of your place of residence require otherwise. Questions about these Terms can be sent to medtech@cahir.ai.
